TravelCall Reseller Agreement

This Reseller Agreement (“Agreement”) is made between Vigil Inc Ltd, a company incorporated in Hong Kong with its registered office at Unit 703, 7/F, Alliance Commercial Building, 133 Connaught Road, Central, Hong Kong SAR (“TravelCall,” “we,” “our,” or “us”), and the approved Reseller (“you,” “your,” or “Reseller”).

By joining the TravelCall Partner Network or clicking “I Agree,” you accept the terms below.

1. Appointment

TravelCall authorizes the Reseller to promote and distribute TravelCall services using official QR codes and marketing materials provided under this Agreement. The Reseller is an independent business entity and not an employee, agent, or representative of Vigil Inc Ltd.

2. Scope of Services

The Reseller may:

• Promote TravelCall QR codes within their property (hotel, travel agency, or approved venue).
• Offer TravelCall communication packs and services to guests and customers.
• Access and use the TravelCall Partner Dashboard for tracking, reporting, and QR management.

Resellers are not authorized to modify, rebrand, or sublicense TravelCall’s services or technology.

3. Partner Benefits

• Earn a 15% commission on qualifying customer transactions originating from their assigned QR codes.
• Access a Business Phone Suite where staff and guests can communicate securely within the same network.
• Use TravelCall’s official Partner Kit — including co-branded materials, email templates, and digital creatives.

4. Commissions and Payments

• Commissions are calculated on the net amount paid by customers after discounts, refunds, or chargebacks.
• Payouts are made via PayPal or bank transfer, once the minimum payout threshold of USD 100 is reached.
• A 3-month cooling period applies before withdrawal to account for refunds or cancellations.
• If a refund or chargeback occurs, the corresponding commission will be deducted from future earnings.
• Unpaid balances under USD 100 may be used toward purchasing TravelCall services.

5. Partner Responsibilities

• Follow TravelCall’s branding and marketing guidelines at all times.
• Use only the official TravelCall Partner Kit, QR codes, and promotional materials provided.
• Avoid misleading or false advertising regarding TravelCall’s services.
• Keep login credentials and dashboard access secure.
• Comply with all applicable telecom and advertising regulations.

6. TravelCall Responsibilities

• A secure Partner Dashboard with QR code management, affiliate tracking, and reports.
• Official promotional materials and partner support.
• 24/7 customer service for guests and partners.
• Accurate and transparent tracking of all commissions and redemptions.

Billing, customer onboarding, and service delivery are fully managed by TravelCall.

7. Term and Termination

• This Agreement remains valid for one (1) year from the date of acceptance and renews automatically unless terminated.
• Either party may terminate this Agreement by giving 30 days’ written notice.
• Commissions earned prior to termination will be processed after the 3-month cooling period, provided they meet the USD 100 minimum.
• Balances below USD 100 can be redeemed as service credits.

8. Compliance and Data Protection

• TravelCall operates under a CLOT license issued in Hong Kong and complies with all applicable OFCA and e-commerce regulations.
• Both parties must handle customer and user data in accordance with the Personal Data (Privacy) Ordinance (PDPO) and TravelCall’s Privacy Policy.
• The Reseller must not store or share customer information except as required for the partnership.

9. Intellectual Property

All TravelCall trademarks, logos, and materials remain the sole property of Vigil Inc Ltd. Resellers may use these assets only as permitted under this Agreement.

10. Limitation of Liability

TravelCall shall not be liable for indirect, incidental, or consequential damages arising from this Agreement. Total liability, if any, shall not exceed the total commissions paid to the Reseller in the preceding six (6) months.

11. Governing Law and Dispute Resolution

This Agreement is governed by the laws of Hong Kong SAR. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Courts of Hong Kong.

12. Acceptance

By registering as a TravelCall Reseller, accessing your dashboard, or distributing TravelCall QR codes, you confirm that you have read, understood, and agree to the terms of this Agreement.
